  Article 1.

  1. This online shop is owned by Midalpa – Furniture and Decor, (hereinafter referred to as Midalpa), a commercial company incorporated under Portuguese law, with its registered office at [address], legal entity no. 514851317, registered with the relevant Commercial Registry Office.
  2. Midalpa specialises in the sale of furniture, home décor, lighting, home textiles and other products designed to furnish residential and commercial spaces, through its high-street shops and its online shop.

Article 2

Scope from application

  1. These General Terms and Conditions govern the use of the Midalpa online shop and the terms and conditions applicable to the purchase of products via the
  2. By placing an order, the Customer confirms that they have read, understood and accepted these General Terms and Conditions, as well as the Privacy Policy of the
  3. These General Terms and Conditions apply exclusively to purchases made via the online shop, without prejudice to any specific terms and conditions that may apply to certain products or promotions.
  1. Midalpa may amend these General Terms and Conditions at any time; the version in force on the date each order is placed shall apply to that order.

Article 3: Products

  1. Midalpa sells furniture, home décor items and other products designed to furnish interior spaces and
  2. The key features of each product, including dimensions, materials, colours, finishes, available variants, price and other relevant information, are set out in the relevant product sheet
  3. Some products are available in different sizes, fabrics, colours, finishes or other variants offered by the respective manufacturer. The options selected by the Customer are then included in the
  4. Unless expressly stated otherwise, the choice between variants provided by the manufacturer does not imply that the product is manufactured to the Customer’s specific requirements.
  5. The photographs, images, videos, decorative settings and other graphic elements featured in the online shop are for illustrative purposes only and are intended to represent the products as accurately as possible.
  6. Given the characteristics of different display devices and the nature of the materials used, there may be slight differences in colour, texture, sheen or finish compared with the product delivered, provided that such differences do not affect its

Article 4

Ordering process

 

  1. Customers may place orders via the online shop by following all the steps in the checkout process.
  2. Before completing the order, the Customer must confirm that the selected products, chosen variants, billing details, delivery address and any other information provided are correct.
  3. Placing an order constitutes an offer to purchase the products
  4. Once the order has been received, Midalpa will send an automatic confirmation of receipt to the email address provided by the Customer.
  5. An automatic confirmation of receipt of the order does not constitute acceptance of the order nor does it result in the conclusion of the contract of sale and
  6. The contract is deemed to have been concluded only once Midalpa has accepted the order; the Customer will be notified of this acceptance by email, or it will be deemed to have taken place upon dispatch of the products.
  7. Until the contract is concluded, Midalpa may refuse or cancel the order, in particular where:
    1. the information provided is incorrect or incomplete;
    2. the product is out of stock;
    3. there is a manifest error in the identification, description or price of the product;
    4. there are indications of fraudulent use of the online shop or payment methods;
    5. should any circumstances arise that make it impossible to carry out the

Article 5: Prices

  1. All prices shown in the online shop are in euros (€) and include VAT at the statutory rate of

  2. The total price of the order, including all applicable charges, will be shown to the Customer before the purchase is confirmed.
  3. Promotional campaigns on the online shop may not correspond to those run in Midalpa’s high-street shops, and there may also be exclusive offers available for purchases made via the online shop.

Article 6: Payment

  1. Payment for the order must be made using one of the payment methods available in the online shop at the time of
  2. The available payment methods may vary depending on the country of delivery, the order value or technical criteria and
  3. Unless otherwise stated, the order will only be processed once payment has been confirmed.
  4. If payment is not completed or is declined by the organisation responsible for processing it, the order will be deemed to be
  5. Where payment by bank transfer is available, payment must be made within the timeframe specified during the ordering process. If payment has not been received by the end of this period, Midalpa may cancel the order.

Article 7

Availability of the products e deadline from delivery

 

  1. Product availability is shown on the relevant product page
  2. Whenever a product is not available for immediate delivery, the estimated dispatch time will be indicated, or
  3. The delivery times quoted are for guidance only and are calculated on the basis of information provided by manufacturers, carriers or logistics service providers.
  4. In the event of a significant delay in relation to the originally scheduled deadline, Midalpa will inform the Client as soon as it becomes aware of this situation.
  5. Unless otherwise stated, delivery times are calculated from the date of confirmation of payment for the order.

Article 8

Delivery of the products

  1. Midalpa delivers to Portugal and to other countries where the online shop offers this service.
  2. Shipping costs will be shown to the Customer before the completion of the
  3. The Customer must provide a complete and correct delivery address, and ensure that someone is available to receive the parcel on the agreed date.
  4. In the case of furniture or other large items, it is the Customer’s responsibility to check in advance that suitable conditions exist for delivery, particularly with regard to the dimensions of doors, corridors, staircases, lifts or any other necessary access points.
  5. If delivery cannot be made for reasons attributable to the Customer – such as the Customer not being present at the agreed location, an incorrect address having been provided, or a lack of access – the Customer may be charged for the costs associated with a further delivery attempt, storage or the return of the products.
  6. Wherever possible, Midalpa will contact the Customer in advance to arrange a delivery time.

Article G. In-store collection

  1. When this option becomes available, the Customer may choose to

collection of the order from a Midalpa shop.

  1. The Customer must collect the order within 30 days of being notified that it is ready for collection, unless otherwise agreed in writing.
  2. If the order is not collected within the time limit specified in the previous paragraph, Midalpa may contact the Customer to arrange a new collection date or agree on another suitable solution.
  3. Where the goods remain uncollected for a manifestly excessive period, and after reasonable attempts to contact the customer have been made, Midalpa may charge storage costs or terminate the contract, in accordance with the provisions of

Article 10

Receipt of goods

  1. Upon delivery, the Customer must check the external condition of the packaging and the products.
  2. If any visible damage is detected, the Customer must note this on the consignment note or equivalent document and report the matter to Midalpa as soon as possible.
  3. Signing the consignment note without reservation does not affect the Customer’s rights in respect of defects or lack of conformity that can only be detected after the opening of the
  4. The risk of loss or damage to the goods passes to the Customer at the moment the Customer, or a third party designated by the Customer, takes physical possession of them.

Article 11: Assembly

 

  1. Where available, the assembly service is an additional service, subject to the terms and costs specified during the
  2. Unless expressly stated otherwise, the assembly service covers only the assembly of the products purchased and does not include electrical work, plumbing, painting, drilling into walls, removal of existing furniture or any other services not
  3. The Customer must ensure that the installation site is clear and meets the necessary conditions for the service to be carried out safely.

Article 12

Law from free resolution

  1. Where the Customer is a consumer, they have the right to withdraw from the contract without giving any reason, within 14 days from the date on which they take physical possession of the products or on which such possession is taken by a third party designated by them, other than the carrier, in accordance with the applicable legislation.
  2. The exercise of the right of withdrawal must be notified to Midalpa, within the statutory time limit, by means of an unequivocal statement sent to the contact details provided on the online shop.
  3. Following notification of the exercise of the right of withdrawal, the Customer must, at their own expense and under their own responsibility, return the products to Midalpa within a maximum of 14 days from the date of notification of withdrawal.
  4. Returns must be made by the Customer, either by delivering the goods in person to a Midalpa shop designated by the company, or via a carrier arranged by the Customer at their own expense.
  5. Products must be returned disassembled, complete and in the configuration in which they were supplied, accompanied by all components, accessories and documentation. If the Customer assembles the product, where such assembly is not necessary to verify the product’s nature, characteristics and operation, may result in the Customer being held liable for any depreciation arising from such assembly, in accordance with applicable legislation.
  1. Where applicable, returns must be made in the original packaging, which must be properly packed and suitable for transport, so as to ensure the product is protected during return. The Customer is responsible for ensuring the products are properly packed and transported to the return address.
  2. The Customer is liable for any depreciation of the products resulting from handling that goes beyond what is necessary to ascertain their nature, characteristics and functioning, in accordance with the applicable legislation.
  3. Midalpa will refund the amounts legally due in accordance with the applicable legislation and may, in the cases provided for by law, withhold the refund until the returned products have been received or until the Customer has provided proof of their return, whichever occurs first.
  4. The right of withdrawal does not apply to cases expressly excluded by law, in particular to goods made to the consumer’s specifications or which are clearly personalised.

Article 13

Warranty cool e complaints

  1. All products sold by Midalpa are covered by the statutory guarantee of conformity provided for under Portuguese law.
  2. Whenever the Customer considers that a product is non-compliant, they must report this to Midalpa using the contact details provided on the online shop, including, where possible, a description of the problem, photographs and any other relevant information
  3. Midalpa will assess the complaint and inform the Customer of the procedure to be followed; it may request that the product be made available for technical inspection.
  4. Where a complaint is deemed to be valid, Midalpa will ensure that the consumer’s statutory rights are upheld, in accordance with the applicable legislation.
  5. The warranty does not cover damage resulting from misuse, incorrect assembly by the Customer or a third party, lack of maintenance, normal wear and tear resulting from use, accidents, modifications made after delivery, or use that does not comply with the manufacturer’s instructions.

Article 14 Liability

  1. Midalpa shall be liable for any damages for which it is legally responsible, in the

Midalpa shall not be held liable for any delays or failures to perform resulting from events beyond its control, including, but not limited to, force majeure, strikes, transport disruptions, delays on the part of manufacturers, natural phenomena, pandemics, armed conflicts, decisions by public authorities or other unforeseeable and unavoidable circumstances.
  2. The limitations set out in the preceding paragraph are without prejudice to the rights that are mandatorily recognised for consumers.

Article 15

Protection from data personal

  1. The processing of customers’ personal data is carried out in accordance with the General Data Protection Regulation and other applicable legislation.
  2. Information regarding the collection and processing of personal data is available in the Privacy Policy published on the online shop.

Article 16

Resolution alternative from disputes from consumption

  1. In the event of a consumer dispute, the Customer may refer the matter to an Alternative Dispute Resolution (ADR) body, in accordance with the applicable legislation.
  2. The updated list of Alternative Dispute Resolution bodies for consumer disputes is available on the Consumer Portal, at consumidor.gov.pt.
  3. Midalpa also provides access to the Electronic Complaints Book, which can be accessed via livroreclamacoes.pt.

Article 17 Final provisions

  1. These General Terms and Conditions are governed by the law
  2. Should any provision of these General Terms and Conditions be deemed invalid, void or unenforceable, this shall not affect the validity of the remaining provisions.
